Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cocollabs platform, website, and related services (collectively, the "Services") operated by Cocollabs ("we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at mario@cocollabs.dev if you suspect unauthorized access to your account.

GitHub Integration & Data Access

Cocollabs integrates with GitHub through a GitHub App installation that you authorize. By connecting your GitHub account, you grant Cocollabs permission to access the repositories you explicitly select, including pull request metadata, file-level diffs, review activity, and contributor information.

You represent and warrant that you have the necessary rights and permissions to authorize Cocollabs' access to the repositories you connect. You must not connect repositories that you do not own or are not authorized to share with third-party services. You may revoke access at any time by uninstalling the GitHub App from your GitHub settings.

Automated Code Classification

Cocollabs uses a combination of deterministic rules and third-party AI models (currently Google's Gemini API) to automatically classify engineering work from code diffs into categories such as features, bug fixes, and maintenance. By using the Services, you acknowledge and consent to your code diff content being processed by these third-party AI providers for the purpose of work classification.

Classification results are generated automatically and are provided on an "as is" basis. We do not guarantee the accuracy of any classification. You should not rely solely on classification outputs for performance evaluations, employment decisions, or other consequential actions.

Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or systems connected to the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Scrape, crawl, or use automated means to access the Services beyond normal API usage
  • Use the Services to monitor individuals without their knowledge or to create individual performance rankings without explicit consent from those individuals
  • Resell, sublicense, or redistribute the Services without our prior written consent

Intellectual Property

Your Code

You retain all rights to your source code and repository data. By using the Services, you grant Cocollabs a limited, non-exclusive, revocable license to access and process your authorized repository data solely for the purpose of providing the Services. We do not claim ownership of your code, and we do not use your code to train AI models.

Our Platform

The Services, including all software, design, text, graphics, and other content created by Cocollabs, are protected by intellectual property laws. You may not copy, modify, or create derivative works from any part of the Services without our prior written consent.

Feedback

If you provide us with suggestions, ideas, or other feedback about the Services, you grant us a non-exclusive, royalty-free, worldwide license to use that feedback to improve the Services without any obligation to you.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any data or classifications will be accurate or complete. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Cocollabs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

Modifications to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

Termination

You may stop using the Services and delete your account at any time by contacting us at mario@cocollabs.dev. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately.

Upon termination, we will delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law) will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
